1. What these terms cover
These terms describe how Head Pills Dmytro Barinov (HeadPills, Wrocław, Poland) works with clients on websites, online stores, brand identity, AI video and business systems. A signed contract or an accepted written quote for a specific project takes precedence over this page wherever they differ.
2. Quotes and prices
Every project starts with a written quote that names the scope, the price and the date. The price is fixed for the scope in the quote and does not change during the work. Work outside the quote (new pages, new processes, additional languages, features not listed) is quoted separately before it is done. The first call and the quote are free of charge and create no obligation.
3. Payment
Unless the quote says otherwise, a part of the price is paid at the start and the rest at handover; longer projects are billed by the stages listed in the quote. Invoices are issued in euro, Polish złoty or US dollars as agreed, with VAT applied under EU rules for EU companies and without VAT for companies outside the EU. Payment terms are stated on the invoice.
4. Process and revisions
The stages are described on the how we work page: call and quote, first screen shown live, build, one round of revisions collected in one list, launch and handover. Revisions within the scope are included; changes that add scope are treated as new work. If the client does not accept the design direction after two attempts at the first-screen stage, either side may end the project and the client pays for the stages completed.
5. Your materials
The client provides text, photos, logos and other materials, or authorises us to create them, and confirms that they may be used. The project date in the quote starts when the materials and the required access are received. Where visuals are generated with AI on the client’s instruction, the site states so where platforms or law require a label.
6. Ownership and handover
On full payment the client owns the deliverables: the website or store, the design files, the code written for the project, the brand assets, the automations and their documentation. Accounts (domain, hosting, editor, automation platforms, analytics) are opened in the client’s name or transferred to the client at handover. Third-party components keep their own licences. We keep the right to use our general know-how and tools in other projects.
7. Third-party services
Hosting, domains, AI models, payment providers, messaging platforms and similar services are contracted by the client on the client’s accounts and billed by those providers. We name them in the quote and set them up, but we are not a party to those contracts and do not control their availability or pricing.
8. Liability
We deliver the work with professional care and fix defects in the delivered scope reported within the period stated in the quote. Our liability for a project is limited to the price paid for it, except where the law does not allow such a limit. We are not liable for third-party services, for content provided by the client, or for results that depend on the client’s market, advertising or operations. Systems that draft replies are designed so that a person approves what is sent; the client decides which processes, if any, may send without approval and carries the responsibility for that choice.
9. Portfolio and reviews
We publish a case study or a review with the client’s name only with the client’s consent, which can be withdrawn at any time by email. Projects under a non-disclosure agreement are never published.
10. Governing law
These terms and every project contract are governed by Polish law. Disputes are resolved first by talking, then, if needed, by the competent court in Wrocław, Poland, unless the contract states otherwise. Contact: hello@headpills.com.
